1. Agreement to terms

These Terms of Service ("Terms") form a contract between you and Parendipity, Inc. By accessing or using our websites or applications, you agree to these Terms.

2. Eligibility and accounts

You must be legally able to enter a contract to use the service. You are responsible for your account credentials and for all activity under your account.

3. The service

Parendipity helps users connect email and calendars to organize activities. We may add or remove features. We may provide beta features that are provided as is and may change without notice.

4. Third party integrations

You may connect third party services, for example Google Gmail and Google Calendar. Your use of those services is governed by their terms and policies. By connecting, you authorize us to access and process data from those services as described in our Privacy Policy and in the consent screen.

5. Acceptable use

You will not misuse the service. Prohibited actions include attempting to access data without authorization, interfering with the service, reverse engineering, or using the service to send spam or violate laws.

6. Fees

If we offer paid plans, you agree to pay the applicable fees and taxes. Unless stated otherwise, fees are non refundable. We may change prices with reasonable notice.

7. Intellectual property

We retain all rights in the service, including software, logos, and content. You retain rights in your content. You grant us a limited license to host and process your content to provide the service.

8. Feedback

You can send ideas or suggestions. We may use feedback without restriction or obligation.

9. Termination

You may stop using the service at any time. We may suspend or terminate the service or your access if you violate these Terms or if we believe it is necessary to protect the service or users. Upon termination, your right to use the service ends, and we will handle your data as described in the Privacy Policy.

10. Disclaimers

The service is provided as is and as available. We disclaim warranties of merchantability, fitness for a particular purpose, and non infringement.

11. Limitation of liability

To the maximum extent permitted by law, Parendipity and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits or revenues, whether incurred directly or indirectly, or for loss of data, use, goodwill, or other intangible losses. Our aggregate liability for all claims relating to the service will not exceed the greater of 100 dollars or the amount you paid to us in the 12 months before the event giving rise to the claim.

12. Indemnification

You will indemnify and hold harmless Parendipity and its affiliates from any claims, liabilities, damages, and expenses, including reasonable legal fees, arising out of your misuse of the service or violation of these Terms.

13. Governing law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Delaware, and the parties hereby submit to the jurisdiction of such courts.

14. Changes to the Terms

We may update these Terms. We will post the new date above and, if changes are material, provide additional notice. Continued use after changes means you accept the new Terms.
